EOR vs PEO comes down to one question: who is the employer? A PEO (professional employer organisation), in the strict sense of the term, shares employer responsibilities with a client that is already an employer itself, through its own local entity. An employer of record (EOR) is the sole legal employer of your staff, so you can have people working in Indonesia without a company of your own.
In the market, people often say “PEO” when they mean an employer of record. That is why our employer of record service carries both names. This article uses each term in its strict sense, because the difference between PEO and EOR is a difference in who the employer is.
What a PEO is, and what an EOR is
The definitions below are how the term PEO is used in the United States, not Indonesian law.
The US industry body for PEOs, the National Association of Professional Employer Organizations (NAPEO), describes co-employment as “a contractual agreement between a company and a PEO that allocates and divides employer responsibilities”. The client’s staff are “employed by two separate entities, the client company and the PEO”. The client supervises the work, assigns the jobs and decides pay and benefits (NAPEO, “What is co-employment?”).
US tax law says the same in its own terms. Under its service contract, a certified PEO takes on paying the wages, reporting and paying the payroll taxes, any benefits the contract requires, and the employee records. Recruiting, hiring and firing stay with the customer and the PEO together (26 U.S.C. §7705(e)(2)). In co-employment, as NAPEO defines it, the client is an employer in its own right, and the PEO shares the work of being one.
An employer of record is a local company that is your staff’s employer in law. It signs the employment agreement with each employee, registers them, runs the payroll and carries the employer’s duties, while you direct the work day to day. There is no second employer: you do not employ anyone in Indonesia yourself, and that is the difference.

| Employer of record | PEO (co-employment) | |
|---|---|---|
| Employer | The EOR alone | Your entity and the PEO |
| Local entity | Not needed | Needed, as the employer |
| Daily work | Directed by you | Directed by you |
| Social security, tax | Carried by the EOR | Shared with the PEO, by contract |
| Fits when | You have no company in Indonesia | You already have one |
Who the employer is under Indonesian law
Indonesian employment law starts from the agreement. The employment relationship arises from an employment agreement between the employer and the worker, made with the consent of both (Manpower Law, UU No. 13 Tahun 2003, Articles 50 and 52; the text is on the Audit Board’s (BPK) database of regulations). The statutory duties then fall on that employer:
- Social security. The employer registers itself and its workers with BPJS (Badan Penyelenggara Jaminan Sosial, the state social security bodies), and collects and pays the contributions (UU No. 24 Tahun 2011).
- Income tax. The employer that pays the wages withholds Article 21 income tax (PPh 21) (Peraturan Menteri Keuangan No. 168 Tahun 2023).
- Fixed-term contracts. The employer registers a fixed-term contract (PKWT, Perjanjian Kerja Waktu Tertentu) (PP No. 35 Tahun 2021).
A foreign worker may be employed only by an employer of foreign workers, in an employment relationship (PP No. 34 Tahun 2021, Article 4(1)); hiring a foreigner in Indonesia explains the steps.
What follows for a foreign company: a co-employment model needs your own Indonesian entity, such as a PT PMA (Perseroan Terbatas Penanaman Modal Asing, a limited company with foreign shareholders), that is itself the employer. Without one, an employer of record is a route that needs no company of your own.

EOR vs PEO: which fits your situation
You have no company in Indonesia. MAM can be the employer of record for your staff. Why this is a real employment relationship under Indonesian law is covered in is EOR legal in Indonesia.
You already have, or plan to have, your own company. If your staff are employed by your own company, that company is their employer, and EOR or your own PT PMA weighs the two routes.
You want to start now and own the company later. The two routes follow each other. Your team starts with MAM as employer, then transfers to your company when it is ready, and the new employment agreement recognises their previous service. Moving from EOR to your own company covers the steps.

What this means for you
A PEO shares the employer’s role with a company that is already an employer. An employer of record is the employer. The choice turns on whether an entity of your own already exists.
