What a commissioner actually does
The commissioner supervises. They do not run the company — that is the director’s job — but they oversee the directors, and where the company’s articles of association say so, certain decisions need their approval.
This distinction matters because the two roles are frequently confused, and appointing the wrong person to the wrong seat creates problems that surface later.
Getting the pair right
Most foreign-owned companies need both a director and a commissioner, and the temptation is to fill both seats with whoever is to hand.
Resist it. The commissioner supervises the director. Filling both roles from the same source, or with people who cannot act independently of one another, defeats the purpose of having the structure at all — and it is noticed during due diligence.
