A PT Perorangan is the one-founder company: an Indonesian citizen, registered electronically, no notary.
Who this is for. An Indonesian citizen starting a micro or small business alone, who wants the protection of a limited company without a notary, a partner or a minimum capital.

A PT Perorangan is the individual company — a limited company with a single shareholder, registered by an electronic statement rather than a notarial deed, for a business at micro or small scale.
Read this first, if you are a foreign investor
You cannot hold this vehicle. The founder must be an Indonesian citizen, and a perseroan perorangan — the full legal name for a PT Perorangan — cannot have a second shareholder. If you are a foreign investor, look instead at a PT PMA, or a PT PMDN held by Indonesian shareholders.
If anyone has offered you a perseroan perorangan as your route in, they have offered you something that does not exist. The rest of this page is written for an Indonesian founder.
How it differs from an ordinary PT
It is a real limited company with legal personality. The business is a separate legal person from you, and you are not personally liable for what it owes beyond your shares.
There is no notarial deed and no second shareholder to find: you are the director and the shareholder at once. Once registered, the company takes an NPWP (its tax number) and an NIB (its business identification number, issued through the OSS licensing system).
The capital is whatever you decide. You state it in the registration, at least a quarter must be issued and paid up, and the evidence goes to the Ministry within 60 calendar days — a deadline nothing arrives to remind you of.
Where micro and small scale ends
The limit is set by PP 7/2021 and measured by business capital: a small business has up to IDR 5 billion. Business capital means the money used to run the business, borrowed as well as your own, and usually excludes the land and buildings it operates from.
So a founder who registers with modest capital and then funds growth with a large loan can pass the limit without changing anything in the registration. When that happens, or when you take on a partner, the conversion to an ordinary PT is a routine piece of work, and we handle it.
